Sofier is powered by Shopify Inc., Shopify Commerce Singapore Pte. Ltd., or Shopify International Limited, depending on Sofier’s location, which enables us to provide the Services to you.

Sofier reserves the right, subject to applicable law, to accept or decline your order for any reason at its sole discretion. Your order is not considered accepted until Sofier confirms acceptance. We must receive and process your payment before accepting your order. Please review your order carefully before submitting it, as Sofier may be unable to accommodate cancellation requests once an order has been accepted. If we do not accept, change, or cancel an order, we may attempt to notify you by contacting the email address, billing address, and/or telephone number you provided when placing the order. Your purchases may be returned or exchanged only in accordance with our Return and Refund Policy. This does not limit any rights you may have under applicable law. 4. Prices and Billing

Prices, discounts, and promotions are subject to change without notice. The price charged for a product or service will be the price in effect when you place your order and will be stated in your order confirmation email. Unless expressly stated otherwise, published prices do not include taxes, shipping, handling, customs duties, or import charges. 5. Shipping and Delivery

Unless otherwise stated, we are not responsible for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events beyond our control. To the fullest extent permitted by applicable law, title and risk of loss pass to you when we transfer the products to the carrier, except where applicable law provides otherwise. We are not responsible for delays or failures caused by events beyond our reasonable control, including carrier or customs delays, natural disasters, severe weather, labour disputes, supply shortages, utility or telecommunications outages, cyber incidents, governmental actions, or other similar events. Likewise, product pages are managed and owned by Sofier. The purchase or delivery of any product does not grant or confer any intellectual property rights, including any patents, copyrights, trademarks, or other proprietary rights, in the product itself, its design, software, or underlying technology. All such rights remain exclusively with Sofier or the original rights holder.

These Terms permit you to use the Services only for personal, non-commercial purposes. Sofier’s name, logo, product and service names, designs, and slogans are trademarks of Sofier or its affiliates or licensors. You must not use such trademarks without Sofier’s prior written permission. Shopify’s name, logo, product and service names, designs, and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are trademarks of their respective owners.

7. Optional Tools

As part of the Services, we may provide you with access to third-party customer tools that we neither monitor nor have any control over or input into. You acknowledge and agree that we provide access to such tools “as is” and “as available,” without warranties, representations, or conditions of any kind and without endorsement. We have no liability whatsoever arising from or relating to your use of optional third-party tools. Any use of optional tools offered through the website is entirely at your own risk and discretion. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and Sofier, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from any claims, damages, and liabilities arising from or relating to your purchases and transactions with Sofier.

13.2 In addition, you agree not to: (a) upload or transmit viruses or any other type of malicious code that will or may in any way affect the functionality or operation of the Services; (b) reproduce, duplicate, copy, extract, sell, resell, or exploit any portion of the Services; (c) collect or track the personal information of others; (d) engage in spamming, phishing, pharming, pretexting, or similar activities directed at the Services; (e) use any robot, spider, scraping tool, data gathering and extraction tool, automated device or process, AI tool (such as agentic AI), or automated or manual means to access the Services; or (f) interfere with, bypass, or circumvent security or authorisation features, robot exclusion headers, or other measures we use to restrict access to the Services. We reserve the right to suspend, disable, or terminate your account at any time without further notice if we determine that you have violated any part of these Terms.

14.4 Agents must: (a) indicate in all HTTP/HTTPS requests that the request originates from an Agent and disclose the Agent’s name by including “Agent/[agent name]” in the request’s user-agent string; (b) not conceal or obscure the fact that any access, use, or interaction originates from an Agent, including by (i) mimicking human behaviour and interaction patterns or (ii) completing or circumventing CAPTCHAs or measures intended to distinguish computer use from human use; (c) answer truthfully any questions or prompts designed to determine whether an interaction comes from a human or a computer; and (d) not circumvent or otherwise avoid any measures intended to prevent, restrict, modify, or control whether and how Agents may access, use, or interact with the Services.

15. Termination

We may terminate this agreement or your access to the Services, or any part thereof, at any time at our sole discretion without further notice, and you will remain liable for all amounts due up to and including the termination date. The following sections will continue to apply after termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

17. Limitation of Liability

To the fullest extent permitted by law, in no event will Sofier, our partners, directors, officers, employees, affiliates, agents, contractors, service providers, or licensors, or Shopify and the corresponding persons of its affiliates, be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind arising from the use of any Services on this website or any products purchased through the Services, including but not limited to lost profits, lost revenue, lost savings, loss of data, replacement costs, or similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise. Nor will we be liable for any claims related to your use of the Services or any product, including but not limited to any errors or omissions in any content, or any loss or damage of any kind resulting from the use of the Services or any content or products posted, transmitted, or otherwise made available through the Services, even if advised of their possibility. 18. Indemnification

You agree to indemnify, defend, and hold harmless Sofier, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims payable to any third party, including reasonable attorneys’ fees, arising from or resulting from (1) your breach of these Terms of Service or the documents they reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services. We will notify you of any indemnifiable claim, and failure to provide such notice will not relieve you of your obligations unless you are materially prejudiced by the failure to provide timely notice. We may control the defence and settlement of such claims at our own expense, including selecting defence counsel, but will not settle any claim that imposes non-monetary obligations on you without your consent, which must not be unreasonably withheld. You will cooperate in the defence of indemnified claims, including by providing relevant documents.

19. Severability

Unless prohibited by applicable law, you and Sofier agree to the jurisdiction and venue of the courts located in that jurisdiction. You and Sofier consent to the venue and personal jurisdiction of those courts. Nothing in this section limits any right you may have to bring claims in your local courts or to rely on mandatory laws applicable in your place of residence.

These Terms of Service may be provided in languages other than English. In the event of any inconsistency or conflict between the English-language version and another language version, the most recent English-language version will prevail. Unless Sofier otherwise determines at its sole discretion or applicable law requires otherwise, any dispute arising from these Terms of Service will be resolved in English.
